1. Application of These Terms
1.1 These Terms and Conditions (“Terms”) govern all engagements between Linea Talent Pty Ltd (“Linea Talent”, “we”, “us”, “our”) and any client, employer, or organisation (“Client”) in relation to the provision of recruitment and candidate introduction services.
1.2 These Terms apply to and prevail over any terms, conditions, purchase orders, or other documents issued by the Client, whether before or after acceptance of these Terms, unless expressly agreed in writing by Linea Talent.
1.3 These Terms are deemed accepted by the Client upon the earliest of:
- requesting Linea Talent to introduce one or more candidates;
- Linea Talent introducing a candidate to the Client;
- the Client engaging a candidate introduced by Linea Talent (whether directly or indirectly);
- the Client engaging a candidate introduced by Linea Talent on a speculative or unsolicited basis.
1.4 These Terms apply to every position, role, or engagement and in any capacity for which a candidate is introduced.
2. Definitions and Interpretation
In these Terms, unless the context otherwise requires:
- Candidate means any individual introduced by Linea Talent to the Client for a position.
- Client means any entity that requests or receives recruitment or introduction services from Linea Talent.
- Engagement means the employment of a Candidate by the Client under a contract of employment.
- Introduction means the provision of information identifying a Candidate to the Client (including a CV or profile) and/or the arrangement of an interview, regardless of whether the Client had prior knowledge of the Candidate.
- Position means any vacancy, role, or employment opportunity for which the Client seeks to employ a Candidate.
- Remuneration means the total annual gross remuneration package payable to the Candidate, including base salary, superannuation, allowances, bonuses (guaranteed or fixed), and benefits, calculated over the first 12 months of employment.
- Introduction Fee means the recruitment fee payable by the Client as agreed in writing or as set out in the applicable fee schedule.
- Law means all applicable Australian Commonwealth, State, and Territory laws and regulations.
- GST has the meaning given in the A New Tax System (Goods and Services Tax) Act 1999 (Cth).
3. Nature of Services
3.1 Linea Talent provides recruitment and candidate introduction services only.
3.2 Linea Talent:
- is not a labour hire, on-hire, or staffing agency;
- does not employ candidates;
- does not place contractors, freelancers, or self-employed workers;
- does not act as the employer of any Candidate.
3.3 All Candidates introduced by Linea Talent are employed directly by the Client.
3.4 Linea Talent makes recommendations only and does not make hiring decisions.
4. Client Authorisations and Obligations
4.1 By requesting services, the Client authorises Linea Talent to:
- act on the Client’s behalf for the purpose of candidate introductions;
- advertise the Position using information supplied by the Client.
4.2 The Client must promptly provide Linea Talent with complete, accurate, and lawful information regarding:
- the Position;
- duties and responsibilities;
- remuneration and benefits;
- work rights requirements;
- any mandatory checks or compliance obligations.
4.3 The Client warrants that all information provided is accurate and lawful and indemnifies Linea Talent for any loss arising from inaccurate or misleading information.
5. Introduction Fees and Payment
5.1 The Introduction Fee is calculated based on the Candidate’s Remuneration, as agreed in writing or under the applicable fee schedule.
5.2 If the Client engages a Candidate within 12 months of Introduction, the Introduction Fee is payable, regardless of:
- whether the engagement differs from the original Position;
- whether Linea Talent was notified of the engagement;
- whether the engagement is direct or indirect.
5.3 An Introduction Fee is payable if the Candidate is engaged by:
- the Client; or
- any related body corporate, associate, subsidiary, holding company, or connected entity of the Client.
5.4 All invoices are payable within 14 days unless otherwise agreed in writing.
5.5 Fees are exclusive of GST, which is payable in addition.
5.6 Linea Talent may charge interest on overdue amounts at the Reserve Bank of Australia cash rate plus 2%, or the maximum permitted by Law.
5.7 If an offer is made to and accepted by a Candidate and later withdrawn by the Client, the Client must pay 50% of the Introduction Fee.
6. Replacement Guarantee
6.1 Subject to this clause, if the Candidate’s employment terminates within three (3) months of commencement due solely to resignation or inability to perform the role as described, Linea Talent will provide one replacement Candidate at no additional Introduction Fee.
6.2 The replacement guarantee applies only if:
- all invoices are paid in full and on time;
- Linea Talent is notified in writing within seven (7) days of termination;
- the role and conditions remain materially unchanged.
6.3 The guarantee does not apply where termination results from redundancy, restructuring, misconduct by the Client, unlawful conduct, harassment, changes to remuneration or duties, or other conditions outside Linea Talent’s control.
7. Confidentiality and Data Use
7.1 All Introductions and Candidate information are confidential.
7.2 The Client must not disclose Candidate information to any third party without Linea Talent’s written consent.
7.3 If Candidate information is shared in breach of this clause and results in engagement, an Introduction Fee remains payable.
7.4 The Client indemnifies Linea Talent for any misuse of Candidate data, including breaches of privacy or discrimination laws.
8. Intellectual Property
8.1 All intellectual property created by Linea Talent, including job advertisements, candidate profiles, screening notes, and assessments, remains the property of Linea Talent.
8.2 The Client must not copy, reproduce, scrape, or reuse any content without written consent.
9. Privacy
9.1 Linea Talent collects and processes personal information in accordance with its Privacy Policy and the Privacy Act 1988 (Cth).
9.2 Candidate information is shared with Clients only with consent and only for recruitment purposes.
10. No Warranties or Guarantees
10.1 To the maximum extent permitted by Law, Linea Talent makes no warranties regarding:
- candidate suitability;
- performance;
- qualifications;
- work rights.
10.2 Linea Talent will use reasonable efforts to assess Candidates, but the Client is solely responsible for:
- verifying qualifications and experience;
- obtaining references;
- confirming work rights;
- conducting all legally required checks.
11. Liability and Indemnity
11.1 Linea Talent excludes all liability for:
- loss of profits;
- business interruption;
- reliance on information;
- any discrimination claims (direct or indirect) arising from hiring decisions or use of Candidate information.
11.2 Nothing in these Terms limits liability that cannot be excluded by Law.
11.3 Linea Talent’s total liability is limited to the Introduction Fee paid for the relevant Candidate.
11.4 The Client indemnifies Linea Talent against all claims arising from:
- breach of these Terms;
- misuse of Candidate information;
- breach of employment or workplace laws.
12. Termination
12.1 Linea Talent may suspend or terminate services or access at any time without notice.
12.2 Clauses relating to fees, confidentiality, intellectual property, liability, and indemnity survive termination.
13. No Partnership or Agency
Nothing in these Terms creates a partnership, joint venture, or employment relationship between Linea Talent and the Client or any Candidate.
14. Dispute Resolution
14.1 Parties must first attempt good-faith negotiation.
14.2 If unresolved, disputes must proceed to mediation before litigation.
15. Governing Law
These Terms are governed by the laws of Australia, and the parties submit to the non-exclusive jurisdiction of the Australian courts.
